Terms of service.

The rules governing the use of Luna and the contractual relationship with Boréal Tech Solutions.

1. Acceptance

By subscribing to Luna, you accept these terms. Electronic signature on the quote or subscription form constitutes acceptance. If you do not accept them, you cannot use the service.

2. The service

Luna is an AI receptionist operated by Boréal Tech Solutions, Inc. The service includes: a dedicated phone number or forwarding, an AI agent configured on your business, dashboard access, SMS and email notifications, integration with your calendar and tools.

Exact features depend on the subscribed plan (Essential, Growth, Pro). See the pricing grid.

3. Pricing and payment

Setup fee: $1,997 (multi-location from $2,997), due at signing, non-refundable.

Monthly subscription: $197 (Essential), $397 (Growth) or $697 (Pro), billed at go-live then each month.

Additional minutes: $0.15/min (Essential), $0.12/min (Growth) or $0.10/min (Pro), billed the month after consumption.

Multi-location: $397/mo per additional branch, +200 minutes included per location.

Credit card payment via Stripe. Payment failure: suspension after 7 days delinquent.

4. Commitment and termination

No fixed-term contract. Termination at any time with 30-day notice. No termination fee. Setup fees remain payable to Boréal.

Boréal may suspend or terminate the service in case of clear breach of these terms, fraudulent use or payment default, after notification.

5. Performance guarantee

Boréal commits to 95% capture on production calls during the first 30 days following activation. Definition of a captured call: answered in under 5 seconds, conversation held with the caller, summary sent to the client.

If the threshold is not reached, Boréal reworks the configuration at no charge until the target is met. Calls where the caller hangs up in under 10 seconds are excluded. Setup fees remain non-refundable.

6. SLA and availability

Target availability: 99.9% (Pro plan: 99.99%). In case of unplanned downtime exceeding 1% of monthly time, prorated credit on the following invoice.

Scheduled maintenance is announced 48 hours in advance and scheduled outside business hours.

7. Intellectual property

Boréal owns all rights to the Luna technology (code, models, voices, infrastructure). You own your data (transcriptions, configurations, customer lists) and can export it at any time.

Use of the "Luna" trademark and any marketing material requires prior written authorization.

8. Limitation of liability

Luna is an assistance tool, not a substitute for human judgment. Boréal does not guarantee absolute accuracy of AI-generated responses. You are responsible for supervision and validation of critical actions (medical appointments, emergencies, financial transactions).

Boréal's total liability in connection with the service is limited to fees paid during the 12 months preceding the event giving rise to the claim.

9. Privacy

Processing of personal information is governed by our privacy policy and our Law 25 and PIPEDA commitments.

10. Changes

Boréal may modify the terms or pricing with 60 days notice by email. Existing customers retain their subscription pricing terms for 12 months following the modification (grandfather clause).

11. Governing law

These terms are governed by the laws of Quebec and applicable Canadian federal laws. Any dispute will be submitted to the courts of the district of Montreal.
